TandemOS
Terms of Service
Last updated: October 2026
These Terms of Service (the “Terms”) form a binding agreement between TandemOS LLC (“TandemOS,” “we,” “us”) and the organization or individual using our services (“Customer,” “you”). By creating an account or using TandemOS, you agree to these Terms.
1. The Service
TandemOS provides cloud-based venue-management software — including event management, ticketing, credentialing, parking, workforce scheduling, equipment tracking, and related modules — as described at tandemos.live (the “Service”). We may add, modify, or discontinue features with reasonable notice.
Pilot features. Modules or features labeled Pilot, Beta, or similar are provided for evaluation. They may change or be discontinued at any time and are provided “as is” without service-level commitments.
2. Accounts and Access
- Eligibility. You must be at least 18 years old and authorized to bind your organization.
- Credentials. You are responsible for keeping login credentials confidential and for all activity under your account.
- Authorized users. Only invited staff and authorized users (“Authorized Users”) may access the Service on your behalf.
3. Subscriptions and Fees
Paid plans are billed as described on our pricing page at the time of purchase. Fees are exclusive of taxes, which you are responsible for. Except where required by law, fees are non-refundable. We may change pricing with at least 30 days’ notice; changes apply at your next renewal. Failure to pay may result in suspension.
4. Payment Processing
When Customer enables TandemOS payment features, payment processing is provided through third-party payment processors such as Stripe. Customer may be required to create or connect a merchant account and agree to the processor's applicable terms.
- TandemOS transaction fee. Unless a separate written agreement states otherwise, TandemOS charges a 2% platform fee on eligible payments processed through TandemOS. Third-party payment-processing fees are separate.
- Merchant responsibility. For venue-owned connected merchant accounts, Customer is the merchant responsible for its customer transactions, refunds, disputes, chargebacks, taxes and compliance obligations.
- External payments. Cash, checks, bank wires and transactions processed outside TandemOS are not subject to the TandemOS transaction fee merely because Customer records them in the Service.
- Settlement allocations. Calculating, recording, approving or closing a promoter, artist, client or other settlement allocation does not by itself create an additional TandemOS transaction fee. If TandemOS later offers an optional electronic payout service, any separate payout fee will be disclosed before the payment is initiated.
5. Acceptable Use
You agree not to: (a) use the Service for unlawful purposes; (b) attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service; (c) upload malicious code; (d) resell or sublicense the Service without our written consent; or (e) send unsolicited commercial messages through the Service in violation of applicable law.
6. Customer Data
- Ownership. You retain ownership of all data you and your Authorized Users submit to the Service (“Customer Data”).
- License. You grant us a limited license to host, process, and display Customer Data solely to provide the Service.
- Responsibility. You are responsible for the accuracy and legality of Customer Data and for obtaining any consents needed to share it with us.
- Data return. Upon termination, you may export Customer Data for 30 days, after which we may delete it per our retention practices.
7. Messaging and SMS
Where the Service includes SMS or messaging features, you are responsible for obtaining recipients’ consent to receive messages and for complying with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and other applicable messaging laws, including honoring opt-out requests.
If you separately opt in to text messages, TandemOS or the venue identified in the message may send the categories of messages described at the point of consent, such as event-day information, recruiting updates, or promotional messages. Message frequency varies. Message and data rates may apply. Consent to receive text messages is optional and is not a condition of purchase, employment consideration, or use of TandemOS. Reply STOP to unsubscribe. Reply HELP for assistance where supported. Carriers are not liable for delayed or undelivered messages.
8. Confidentiality
Each party agrees to keep the other’s non-public information confidential and to use it only to exercise rights under these Terms, except as required by law.
9. Intellectual Property
TandemOS owns the Service, including all software, designs, and trademarks. Nothing in these Terms transfers ownership to you. If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction.
10. Third-Party Services
The Service may integrate with third-party platforms. We are not responsible for third-party services, and their terms apply to your use of them.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TANDEMOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TANDEMOS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM (OR $100 FOR FREE OR PILOT USE).
13. Indemnification
You agree to indemnify and hold TandemOS harmless from claims arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law.
14. Term and Termination
These Terms remain in effect while you use the Service. Either party may terminate for convenience with 30 days’ notice, or immediately for material breach. Sections 6, 8, 9, 11, 12, 13, and 16 survive termination.
15. Changes to These Terms
We may update these Terms with reasonable notice (for example, by posting the revised Terms on our site). Continued use of the Service after the effective date constitutes acceptance.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in North Carolina, and the parties consent to their jurisdiction.
